Terms of Service Agreement for Bridge Play Foundation Inc.

1. General Terms

1.1 Acceptance of Terms
By accessing or using any services, programs, events, or materials provided by Bridge Play Foundation Inc. ("the Foundation," "we," or "us"), you agree to abide by the terms and conditions outlined in this agreement ("Agreement"). These terms govern your participation, usage, and interaction with all of our services.

1.2 Updates to the Terms
The Foundation reserves the right to modify these Terms at any time. Updated versions will be posted on our website, and continued use of our services signifies your acceptance of the updated terms.

2. Use of Services

2.1 Eligibility
The services provided by the Foundation are intended for individuals and organizations aligned with our mission to foster community engagement, promote healthy lifestyles, and provide equitable access to recreational sports and physical activities.

2.2 Prohibited Activities
You agree not to:

  • Use our services for any unlawful purpose.

  • Distribute content that infringes on intellectual property rights or violates privacy laws.

  • Engage in fraudulent behavior or misrepresentation.

 

3. Content Submission

3.1 Ownership of Content
You retain ownership of any content ("Your Content") that you submit to us. However, by submitting content, you grant the Foundation a non-exclusive, royalty-free, worldwide, perpetual license to use, reproduce, and distribute such content for our nonprofit purposes.

3.2 Prohibited Content
Your Content must not:

  • Violate any intellectual property or proprietary rights of third parties.

  • Contain defamatory, obscene, or otherwise harmful material.

 

4. Representations and Warranties

4.1 General Representations
You represent and warrant that:

  1. All information provided by you to the Foundation is truthful, accurate, and complete.

  2. You will comply with this Agreement and any related agreements or policies.

  3. Your use of our services will not violate any applicable laws, regulations, or third-party rights.

  4. Your Content does not violate any intellectual property, privacy, or publicity rights of others.

4.2 System Representations
You are responsible for maintaining any equipment, technology, or resources ("Your Systems") required to access the Foundation’s services. You agree to implement appropriate security measures to prevent unauthorized use of the services.

4.3 Feedback Representations
If you provide any feedback or suggestions ("Feedback") to the Foundation, you represent that:

  1. You own or have the necessary rights to provide such Feedback.

  2. The Feedback does not violate third-party rights.

  3. The Foundation may use your Feedback without compensation to you.

 

5. Disclaimers of Warranty

The services provided by the Foundation are "AS IS" and "AS AVAILABLE." We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee uninterrupted, error-free service or that any defects will be corrected. You are responsible for verifying the accuracy and applicability of any materials or information obtained through our services.

 

6. Indemnity and Limitation of Liability

6.1 Indemnity
You agree to indemnify and hold harmless the Foundation, its officers, board members, employees, and agents from any claims, damages, or expenses arising from:

  • Your use of our services.

  • Your Content or Feedback.

  • Your violation of this Agreement or any applicable law.

6.2 Limitation of Liability
The Foundation's liability for any damages or losses is limited to $100. We are not liable for any indirect, incidental, or consequential damages arising from your use of our services.

 

7. Dispute Resolution and Governing Law

7.1 Governing Law
This Agreement is governed by the laws of the State of New York.

7.2 Dispute Resolution
The parties agree to resolve disputes through negotiation. If unresolved, disputes will be submitted to binding arbitration under the rules of the American Arbitration Association (AAA).

 

8. Miscellaneous

8.1 Independent Contractors
The Foundation and its users are independent contractors. No agency or partnership relationship is created by this Agreement.

8.2 Entire Agreement
This Agreement constitutes the entire understanding between you and the Foundation.

8.3 Severability
If any provision is deemed invalid, the remaining provisions will remain in effect.

8.4 Termination
Either party may terminate this Agreement at any time. Termination does not relieve obligations incurred prior to termination.
